h2. Executive Board Overview

Consisting of 10 members, the *Executive Board (Board)* shall have the authority and the responsibility to manage the Chapter's property and govern its affairs.

Board vacancies before the conclusion of the departing member's term will be filled by majority vote of the remaining members of the Board.

No member shall serve in the same office for more than two consecutive terms.

All offices are assumed January 1.

The Board shall hold at least three meetings annually and may hold additional meetings upon call of the President or upon written request of any member of the Board. *Five members* of the Executive Board shall constitute a quorum (do we want this changed now that there are 10 members?)

h2. Officers of the Executive Board

The [*President*|Chapter Manual - V. Executive Board - President], subject to the Board, shall have general supervision and control over Chapter affairs. _Term of office:_ one year.

The [*First Vice President/President Elect*|Chapter Manual - V. Executive Board - First Vice President & President Elect] shall assist the President in the performance of the duties of Presidency; with the President and in the event of absence or withdrawal of the President, shall assume all duties and obligations of the Presidency; Shall have duties as specified by Chapter Recommendations Practices and the needs of the Chapter. _Term of office:_ one year.

The *[*Second Vice President*|Chapter Manual - V. Executive Board - Second Vice President]* shall be responsible for the Chapter's administrative continuity and shall carry out duties as assigned by the President and/or Board. _Term of office:_ one year.

The *[*Recording Secretary*|Chapter Manual - V. Executive Board - Recording Secretary]* shall keep an approved record of all meetings of the Chapter and Board, and sign legal documents jointly with the President. _Term of office:_ two years.

The *[*Corresponding Secretary*|Chapter Manual - V. Executive Board - Communications Secretary]* shall attend the Chapter's correspondence matters. _Term of office:_ one year.

The *[*Treasurer*|Chapter Manual - V. Executive Board - Treasurer]* shall have custody of the Chapter funds. _Term of office:_ two years.

The Treasurer-Elect works with the Treasurer and eventually moves up to take the office of Treasurer. _Term of office:_ one year before moving up to the office of Treasurer.

The *[*Immediate Past President*|Chapter Manual - V. Executive Board - Immediate Past President]* and two directors ([Fundraising Director|SLADC:Chapter Manual - V. Executive Board - Fundraising Director] and [Membership Director|SLADC:Chapter Manual - V. Executive Board - Membership Director]) shall carry out duties as assigned by the President and/or Board. Immediate Past President _Term of office:_ one year; Directors overlapping _Term of office:_ two years.

h3. Duties

# Serve as the governing board of the chapter.
# Give due consideration to all matters coming before the board, including Association, chapter, and committee business.
# Act as coordinating agents between the Association and the Chapter.
# Oversee the management of the Chapter's financial affairs.
# Attend routinely scheduled Chapter Meetings.
# Upon completion of their term, transfer materials to their elected replacements.

All records produced as a part of one's duties must be submitted to the Chapter Archivist at the conclusion of the project or assignment.
